Status & role

MeghQuasar ("the Broker") acts as a bona fide agent of the Charterer arranging air charter. For each flight the Broker discloses whether it acts as agent of the Charterer, agent of the air carrier, or (foreign) indirect air carrier. The Broker is not a direct air carrier and does not operate aircraft. Flights are performed by an independent FAA Part 135 (or equivalent national) certificated Operator, whose legal name and DBA are disclosed to the Charterer before each flight.

Aircraft sales and acquisitions

In the sale and purchase of aircraft the Broker acts solely as an intermediary between principals. It is not a party to the purchase agreement, takes no title to or possession of any aircraft, and neither receives nor holds deposits or purchase monies, which pass only through an independent escrow agent appointed by the principals. The terms governing these services are set out in clause 15.

Insurance disclosure

The Operator carries the aircraft/air-carrier liability insurance. The Broker does not currently carry separate broker (errors & omissions) liability insurance; the Charterer acknowledges this.

Payment

Full payment (or an agreed deposit) is due to secure the aircraft; the Broker commits the Operator only after cleared client funds are received.

Accepted methods of payment. The Broker accepts payment only (a) by bank transfer to the bank account designated by the Broker in writing, or (b) by card, or by another electronic method offered at checkout, through the Broker's payment gateway. The Broker does not accept cash or cheques, and no person is authorised to accept cash or a cheque on the Broker's behalf.

Cancellation and refunds

Cancellation. The Operator's cancellation terms apply and are mirrored for each booking; non-refundable amounts are disclosed before booking.

Refunds. If the contracted air transportation is not performed, the Broker makes prompt refund of monies paid. A refund is made only to the original method of payment: (a) monies received by bank transfer are returned by bank transfer to the account from which they were remitted; and (b) monies received through the payment gateway are refunded through the payment gateway to the card or other instrument used, in accordance with the rules of the applicable card scheme or payment system. The Broker does not make refunds in cash, by cheque, or to any person other than the original payer.

A request to cancel a booking, or a question concerning a refund, is to be sent in writing to info@meghquasar.com.

Delivery of services

The service provided by the Broker is the arrangement of a charter flight to be performed by an Operator. No goods are sold, and nothing is shipped or physically delivered. The Broker delivers its confirmation of each booking in writing, by email to the address supplied by the Charterer.

Limitation of liability

The Broker's aggregate liability is limited to the brokerage fee actually received. The Broker is not liable for the acts or omissions of the Operator, nor for delay, mechanical/AOG, diversion, weather, ATC, or force-majeure events; the Broker will use reasonable efforts to re-source a replacement aircraft.

Compliance

Charterer KYC and sanctions screening are completed before booking. Governing law: India; courts at Mumbai, Maharashtra have exclusive jurisdiction, unless otherwise agreed in writing per booking.

15. Aircraft Sales and Acquisition Services

15.1 Application. This clause 15 applies where MeghQuasar provides intermediary services in connection with an Aircraft Transaction. It applies in addition to clauses 1 to 14. In the event of inconsistency in respect of an Aircraft Transaction, this clause 15 prevails.

15.2 Capacity. MeghQuasar acts solely as an intermediary that introduces Principals to one another and assists them in the conduct of an Aircraft Transaction. MeghQuasar is not the owner, seller, purchaser, lessor, operator or manager of any aircraft presented, does not take title to or possession of any aircraft, and has no authority to bind any Principal unless that Principal has conferred such authority in writing. MeghQuasar is not a party to any letter of intent, purchase agreement or escrow agreement between Principals.

15.3 Aircraft information. Specifications, maintenance records, status and other particulars of an aircraft are furnished by its owner, the owner's representatives, public registries and other third parties. MeghQuasar transmits such particulars in good faith and without verification, and makes no representation or warranty as to their accuracy, completeness or currency. Each Principal shall rely exclusively on its own pre-purchase inspection, title and lien search, records review and professional advisers.

15.4 No advice. MeghQuasar does not provide legal, tax, technical, regulatory, financial or valuation advice. Each Principal is responsible for obtaining such advice independently.

15.5 Availability and price. Any aircraft presented is offered subject to prior sale, withdrawal, and change of price or terms by its owner without notice. MeghQuasar does not warrant that an aircraft is or will remain available, or that any Aircraft Transaction will proceed to completion.

15.6 Confidentiality. MeghQuasar keeps the identity of each Principal confidential and discloses it only with that Principal's consent or as required by law. Information furnished by MeghQuasar concerning an aircraft, its owner or a prospective counterparty is provided solely for the recipient's own evaluation and shall not be disclosed to any third party, other than the recipient's professional advisers under a duty of confidence, without MeghQuasar's prior written consent.

15.7 Non-circumvention. Where MeghQuasar introduces a Principal to an aircraft, to its owner or to a prospective buyer, that Principal shall not, for a period of twelve (12) months from the date of the introduction, negotiate or conclude a transaction in respect of that aircraft with that party otherwise than through MeghQuasar, unless MeghQuasar agrees otherwise in writing.

15.8 Fees. MeghQuasar's remuneration for an Aircraft Transaction is set out in a separate written engagement or fee agreement executed before the introduction is made. Unless that agreement provides otherwise, the fee becomes payable on closing and is disbursed by the Escrow Agent from the closing funds. No fee is payable in the absence of a written agreement.

15.9 Client money. MeghQuasar does not receive, hold or transfer deposits, purchase monies or any other funds of a Principal. All such funds are paid to and held by the Escrow Agent on the terms of the escrow agreement between the Principals and the Escrow Agent.

15.10 Identity and compliance. MeghQuasar may require information and documentation concerning the identity and beneficial ownership of a Principal, the intended use and place of registration of the aircraft, and the source of funds, and may decline or discontinue its services where sanctions, export control, anti-money-laundering or other applicable law so requires, or where such information is not provided. Each Principal represents that all information it furnishes is accurate and complete.

15.11 Liability. To the maximum extent permitted by law, MeghQuasar's aggregate liability arising out of or in connection with an Aircraft Transaction shall not exceed the fee actually received by MeghQuasar for that transaction. MeghQuasar shall not be liable for any indirect, incidental, consequential or special loss, nor for any loss arising from the condition, airworthiness, title, registration or value of an aircraft, nor for the acts or omissions of any Principal, Escrow Agent, inspection facility or other third party.
